No Home For Mendocino Coast Television!

Resolution 2-2013 by the Board of Directors of Mendocino Coast Television declaring the immediate dissolution of Mendocino Coast Television

Whereas, providing the Mendocino Coast community with media services, both online and over cable, since 2006, continuing a legacy of service begun by our predecessor, Mendocino Coast Community Education Television; and

Whereas, Mendocino Coast Television relies on community donations and earned income to supplement a shrinking base of fee revenues derived from a portion of franchise fees paid by the diminishing number of cable subscribers living on the Mendocino Coast; and

Whereas, Mendocino Coast Television invested all but a few thousand dollars it received for capital equipment and facilities, in purchasing media equipment and renovating its media center at 248 E. Laurel Street; and

Whereas, Mendocino Coast Television has withstood unanticipated financial strain for the last several years as it has diverted staff time, volunteer board time, community member time and limited financial resources to contest a law suit filed against Mendocino Coast Television by Footlighters; and

Whereas, Mendocino Coast Television has been informed that it has lost the law suit filed by Footlighters, and now must give back the media center, leaving Mendocino Coast Television without a home of operation and with virtually no cash; and

Whereas, Mendocino Coast Television is facing financial demands from the attorney representing Footlighters that far exceed the financial resources of Mendocino Coast Television.

Now , therefore, be it resolved, that the Board of Directors of Mendocino Coast Television affirms that Mendocino Coast Television, a 501c(3), shall be dissolved as soon as possible, and authorizes its legal counsel and executive director to proceed immediately with any and all actions required to implement the dissolution of Mendocino Coast Television.

Be it further resolved, that the Board of Directors of Mendocino Coast Television declares that it sees the dissolution of Mendocino Coast Television as the only viable method for Mendocino Coast Television to comply with the court judgment in favor of Footlighters and the demands of the attorney representing Footlighters, and instructs its legal counsel and executive director proceed with the dissolution in the spirit of complying with the judgment of the court.
